  1. Applicability
    These Terms & Conditions govern all purchases and use of the ESSPY website (the “Website”) and the sale of products through the Website. By placing an order you confirm that you have read, understood and agree to these Terms.

  2. Offers and Pricing
    2.1. Offers are valid only on the Maximum Retail Price (MRP) and only where expressly stated.
    2.2. Offers cannot be combined unless expressly permitted in writing.
    2.3. Offers are valid on select models/items only, as specified in the relevant offer.
    2.4. Prices shown on the Website are subject to change without prior notice. However, the selling price charged for an order will be the price confirmed at the time the order is placed.

  3. Availability & Supply
    3.1. All products are subject to availability. ESSPY will make reasonable efforts to notify customers if an item becomes unavailable after an order is placed.
    3.2. ESSPY may fulfill orders directly or through its associates, partners or affiliates (“Associates”). By placing an order the Customer expressly consents to such supply arrangements.

  4. Delivery & Inspection
    4.1. On delivery, the Customer should inspect the product and packaging immediately. Where practical and applicable, the Customer should test the product to ensure it is in good working order (for example, by powering on and performing a basic functional check).
    4.2. Any visible damage or defects should be recorded on the delivery receipt and reported to ESSPY. promptly in accordance with the Return Policy.

  5. Product Specifications
    Product images, descriptions and specifications on the Website are indicative. ESSPY reserves the right to change or improve product specifications without prior notice.

  6. Changes to Website, Terms & Service Operations
    ESSPY reserves the right to add, alter, amend or revise these Terms and Conditions, the Website, and any customer workflow or rules at any time without prior notice. ESSPY may also suspend or close the Website or certain services for any period as determined by management.

  7. Use of Contact Details & Sharing with Partners
    By providing contact details via the Website, the Customer consents to ESSPY sharing necessary information with Program Partners and Associates with whom ESSPY has arrangements to provide services to Website customers. Such sharing will be limited to the extent necessary for the provision of those services.

  8. Partner Benefits & Liability
    Benefits, offers or services provided by Partners or Associates may change or be withdrawn without prior notification. ESSPY is not responsible or liable for any loss, claim or damage arising from changes made by Partners.

  10. Governing Law & Jurisdiction
    These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy or claim arising out of or relating to these Terms, or the breach, termination or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India.

    11.1. Headings are for convenience only and do not affect interpretation.
    11.2. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
    11.3. These Terms constitute the entire agreement between the Customer and ESSPY with respect to the subject matter herein.
